Role synopsis

This position will provide legal support in the nature of gas, power, and financial regulatory counseling, drafting, negotiating, and transactional advice and assistance to BP's Integrated Supply and Trading (IST) U.S.-based gas, power, NGLs, and structured products trading business (NAGP).

Key accountabilities

  • Providing legal advice to NAGP commercial clients, including identifying and assessing legal issues and risks affecting NAGP/IST and recommending effective legal strategies for the management of these issues and risks taking into account legal, regulatory, financial and reputational factors;
  • Advising as to the relevant laws and regulations applicable to gas, power and ngls transactions, including Dodd Frank regulations applicable to NAGP’s swap dealing activities and IST’s business generally;
  • Supporting the negotiation and drafting of complex transactions including, long and short term gas and power purchase and sale agreements; transportation and storage agreements; asset management agreements; transmission agreements; derivative and structured product agreements; credit support arrangements such as guarantees, master netting agreements, and security agreements; and business development transactions including asset acquisitions and divestments to assure compliance with the applicable statutes and with the regulations promulgated by and policies established by the FERC and CFTC;
  • Providing management and oversight of BP's participation in FERC and CFTC regulatory proceedings, including managing outside counsel;
  • Assisting E&C and Regulatory Affairs in the coordination with and appearances before governmental agencies and officials, as necessary;
  • Working with E&C and Regulatory Affairs in monitoring and evaluating proposed regulations and their impact on IST’s business, and proactively informing leadership and the business of any such impact;
  • Developing and providing client training on gas, power and ngls regulatory matters
  • The position will also require cross-team collaboration and coordination of legal workload with the other internal BP Legal teams, including colleagues in Chicago, Canada, London, and Singapore, and with outside counsel.

Essential Education

  • Law degree required. Must be licensed attorney in good standing in the US.

Essential experience and job requirements

  • A proven record of commercial awareness and of high-quality contribution to business strategy and delivery.
  • Significant experience with the applicable gas, power, and financial regulatory requirements of the CFTC (including Dodd Frank), FERC, NERC, the regional power authorities and the states in which BP does business. Experience advising natural gas merchants and power generators is preferred.
  • Significant experience in helping to develop and implement a regulatory compliance program, including advising on Dodd Frank and other regulatory reform issues.
  • A deep understanding of gas, power and ngls transactions and how the regulatory framework affects such transactions.
  • The ability to manage numerous regulatory proceedings of various complexities simultaneously.
  • Excellent oral and written communication skills, along with self-confidence, initiative, and the desire and ability to handle a complex set of challenging responsibilities.
  • The facility for fast-paced client counseling on FERC and CFTC regulatory issues as well as negotiation, transactional and dispute resolution skills.
  • The ability to focus and direct the efforts of internal and external legal resources to provide critical regulatory support to the business.

  • The position will also require cross-team collaboration and coordination with other internal BP Legal teams, with colleagues around the world, and with outside counsel.
